OTBC is a national transaction-support firm based in the Dallas area. Our focus is financial due diligence: helping everyone at the table understand the earnings behind a deal.

What we do

Our core work is Quality of Earnings and financial due diligence for business acquisitions, sales and financings. Around that, we offer business valuations, exit readiness planning for owners, and a performance-based seller-financing structure.

We keep the language simple and the process tight. Work is prepared and reviewed by experienced finance and M&A professionals before it is delivered.

OTBC brings together CPAs and business professionals. Each of our CPAs has more than 20 years of audit, accounting and financial experience, and every Quality of Earnings and due diligence engagement is performed or reviewed by one of them. Exit planning is led by Dewey Vaughn, MBA, a business management consultant. A Quality of Earnings uses the same discipline as an audit (testing the numbers against source documents, questioning every adjustment, documenting the work), applied to one question: what does this business really earn?

OTBC is not a CPA firm, and a QoE is not an audit. What you get is audit-trained people doing focused, practical financial due diligence, with CPA oversight on every QoE and due diligence engagement.

We use state-of-the-art analytical tools and documented procedures on every engagement, so the work is consistent, traceable and built to support the decision in front of you.

OTBC is not a broker and does not earn a commission on the sale of a business, so our analysis is not tied to whether a deal closes.
